
Changing the Registered Address of a Company in Sri Lanka
When a company is incorporated in Sri Lanka, it must have a registered address within the country. Often, startups use the residential address of one of the founding directors. As the company grows and moves to a new office, it becomes necessary to update the registered address to the official workplace.
Things to Consider When Choosing the Address
For companies involved in import and export activities, it is advisable to use an address that can be verified through a lease agreement or deed. This is crucial for registrations with the Department of Inland Revenue and Sri Lanka Customs, as these require proof of address.
How to Change the Address
To change the registered address, you need to submit a Form 13 to the Registrar General of Companies, accompanied by a resolution signed by the majority of the directors. You can download Form 13 from the Registrar General of Companies’ website or access it through the company dashboard at www.eroc.drc.gov.lk.
The resolution must state the date on which the address change will take effect, which is five days after the notice date. Once these requirements are met, the Registrar General of Companies will update their records.

What to Do After Changing the Address
Changing the address with the Registrar General of Companies updates their records but does not automatically update other institutions. After Form 13 is approved, you can apply for a certified copy with a QR code to submit to the following institutions to update your address:
- Department of Inland Revenue
- Department of Labour
- Banks
- Financial Institutions
- Employees
- Suppliers
- Customers
